Shareholding structure

Communication received in accordance with article 74 of the Law of 1 April 2007 on takeover bids

The reference shareholder of the company is a consortium within the meaning of Article 1:19 of the Companies and Associations Code, formed by Union Financière Boël SA, Société de Participations Industrielles SA and Mobilière et Immobilière du Centre SA, which together own 54.596% of the shares of Sofina SA (the “Reference Shareholder”). For purposes of the takeover bids legislation, each consortium company is, taking into account the shares in Sofina owned by the other two consortium companies, considered to own 54.596% of the shares of Sofina (excluding treasury shares owned by the company). Furthermore, Union Financière Boël SA (acting on its own behalf and as agent for the other two consortium companies) continues to notify to Sofina each year changes in the number of Sofina shares that the consortium companies own as part of the concert relationship it formed on 31 August 2007 with Société de Participations Industrielles SA (and which Mobilière et Immobilière du Centre SA joined on 1 July 2013).

Based on the latest communication by the Reference Shareholder to Sofina dated 19 August 2026, made in accordance with Article 74 of the Law of 1 April 2007 on public takeover bids, the consortium companies forming the Reference Shareholder held on 19 August 2026 shares in Sofina SA as set out below:

(1) As at 19 August 2026, Sofina SA’s share capital was represented by 36,696,428 shares.

(2) Presumption of concerted action (Article 3, §2 of the Law of 1 April 2007 on public takeover bids). Own shares held by Sofina SA at 14 August 2026.
